Asana Subscription via Apparatus Quo - Terms & Conditions
1. Signed Order Form
a. Signed Order Form with Apparatus Quo, which includes preferred annual subscription tier, number of seats and requested start date
b. Apparatus Quo will confirm pricing with the customer will require a Purchase Order to lock in the order once pricing and dates are confirmed
2. Asana Subscriber Terms
a. If NEW Asana customer - we require the Customer to sign the end CLA agreement with Asana's Subscriber Terms - we will share the Asana Acknowledgement Form
b. Client to provide AQ with a seat and admin access to their account during services and for period of time they place subscription through AQ.
3. Changes
a. Any requested changes to your tier and/or seats are through re-submitting this form or via email approval and associated purchase order. Please note any downgrades prior to renewal require 40 days notice as per 6a below.
4. Provisioning
a. AQ will submit the order on your behalf through the Asana Partner team for provisioning
b. Orders take 1-4 US Business Days to provision
5. Payment
a. Customer will pay all undisputed amounts due under the applicable Order Form within thirty (30) days of invoice date.
b. If the Customer disputes any part of an invoice in good faith, Customer will pay the undisputed part and provide Apparatus Quo with notice and detail of the dispute no later than the invoice due date.
c. Amounts due are payable in the currency set forth in the applicable invoice and are non-cancelable and non-refundable unless otherwise provided in this Agreement.
d. The Customer is responsible for providing complete and accurate billing information to Apparatus Quo, including the purchase order number at the time of purchase if required.
e. Note Asana reserves the right to suspend your account in the event that your account becomes overdue and is not brought current within ten (10) business days following notice.
f. Unpaid amounts may be subject to interest at the lesser of 1.5% per month or the maximum permitted by law plus collection costs.
g. Suspension will not relived Customer's obligation to pay amounts due.
6. Asana Subscription Term
a. Note orders via Apparatus Quo are for an annual subscription to Asana unless otherwise specified, and your subscription will be assumed to roll over upon your annual renewal date unless a cancellation request is sent to Apparatus Quo no later than 40 days prior to your annual renewal date.
7. Termination of your Asana Subscription
a. Is as per the Term and Termination terms in your Asana Master Subscription Agreement (if Enterprise Customer), or your Asana Subscriber Agreement (for Starter, Advanced Customers).
8. Refunds
a. For any applicable refunds as per Asana's standard refund terms and valid situations, these will be passed onto the customer a prorated refund of any prepaid, unused fees applicable to the remaining portion of the Subscription Term
9. Company Size
a. Only companies with greater than 50 employees are eligible for placing their subscription via a Solution Partner.
