Proposal Terms & Conditions

Introduction

On your acceptance of the terms contained in the Proposal you will be bound by these Standard Terms and Conditions. The methods of acceptance are set out in the proposal.

All references to “Client” or “you” are references to the client named or described in the Proposal.

All references to “Apparatus Quo”, “Apparatus Quo” “us” or “we” are references to Apparatus Quo Pty Ltd ABN 66 671 335 363

Assumptions

  1. This proposal T&Cs are in addition to those outlined in our standard service and Asana subscription T&Cs, signing this proposal also acknowledges you agree to our standard terms and conditions listed on https://www.apparatusquo.com.au/terms-and-conditions and https://www.apparatusquo.com.au/asana-aq-terms-and-conditions
  2. All project and advisory activities are scoped and approved by the Client before proceeding
  3. All software subscription and approved third party pricing is paid for by the Client unless otherwise agreed (e.g. Asana subscription purchased through AQ)
  4. Any software-specific technical issues (unrelated to configuration) are to address directly with the third party technical support team at their standard response times.
  5. The Client is comfortable for Apparatus Quo to showcase their logo on the apparatusquo.com.au website
  6. AQ response time: Our preference is for scheduled meetings in the calendar, and for all other communication (calls, emails, text) will be on a 'best efforts' basis (typically 24-48 hours during busy periods)

Client Responsibilities

  1. Attendance meetings (conference calls or in-person as required)
  2. Provision of requested information, systems and documentation
  3. Travel costs and other disbursements are applicable and will be discussed, approved, and invoiced separately to this Proposal. By engaging us you consent to us incurring those disbursements on your behalf and you agree to reimburse us for them (GST will be charged where applicable) within 14 day payment terms
  4. Timely approval of decisions & approval requests as identified in the agreed Project Schedule
  5. Adherence to the project schedule. The Project Schedule will be agreed by Apparatus Quo and the Client prior, or just after project commencement
  6. Define a Project Lead to act as the main point of contact for the entire Project Period. Apparatus Quo must be notified of any changes to Project Champion as quickly as possible
  7. Project management of Client deliverables and responsibilities (including notification of key contact leave or changes)
  8. Coordinate the transformation efforts for the internal team

Services Billing Schedule

Client agrees to 100% upon signing this proposal, with 14-day terms.

Termination

The Client may give notice of intention to terminate this Agreement if Apparatus Quo breaches a material provision of this Agreement and has not remedied such breach within 10 days after receipt of a written notice from the Client requiring it to remedy such breach.

Project Schedule & Variations

For any approved work to stay with expected timeline and budget, it is vital that teams are available for all key workshops, meetings and approvals that are listed in the Project Schedule. The Project Schedule will be agreed by Apparatus Quo and the Client prior to or just after project commencement.  Any cancellations within 48 hours are subject to the full price of the meeting or workshop, or that workshop or meeting being forfeit.
If the Client requires any changes to the scope, approach, deliverables, responsibilities and assumptions set out in this Statement of Work, or what was scoped out for individual deliverables, and cannot provide stakeholder availability to deliver to the agreed Project Schedule, Apparatus Quo will provide an Impact Assessment and likely Change Request that will also detail any timeline and budget change, so that the Client can approve or reject the variance to the project.

Client Acknowledgment of this Clause

Where deviations from the agreed responsibilities and the Project Schedule (project delays) are instigated by the Client, there is an added cost for Apparatus Quo to carry that is attributed to the team that is assigned to the project (during the delay). This acknowledgment indicates that you are aware of this and will adhere to the process indicated above in Project Schedule & Variations. This includes your awareness that there may be delays and added costs applied if the agreed Project Schedule is not adhered to.
